1. Provider
The Platform is operated by VirtuTechnologies Limited, a company incorporated in Northern Ireland under company number NI700043, whose registered office is:

References to “VirtuTechnologies”, “VirtuSign”, “we”, “us” or “our” mean VirtuTechnologies Limited.
2. Business Users Only
The Platform is made available strictly for use by businesses acting in the course of trade, business or profession. It is not intended for consumer use.
By accessing or using the Platform, you warrant and represent that you are not acting as a consumer.
3. Formation of Contract
A legally binding agreement between you and VirtuTechnologies is formed when you:
- Create an account;
- Access or use the Platform; or
- Click to accept these Terms.
You warrant that you have authority to bind the organisation on whose behalf you use the Platform.
4. Entire Agreement and Non-Reliance
These Terms constitute the entire agreement between the parties and supersede all prior representations, negotiations, understandings or agreements.
You acknowledge that you have not relied on any representation, statement or warranty not expressly set out in these Terms. Nothing in this clause limits liability for fraud or fraudulent misrepresentation.
5. No Legal Advice or Regulated Services
VirtuTechnologies Limited:
- Is not a solicitor’s firm;
- Is not authorised or regulated by the Law Society of Northern Ireland, the Solicitors Regulation Authority, or any equivalent body;
- Does not undertake any reserved legal activities.
The Platform provides automated document generation and workflow tools only. VirtuTechnologies does not provide legal, financial, tax or commercial advice. Documents generated through the Platform are draft documents only.
VirtuTechnologies:
- Does not review, validate or approve document content;
- Does not warrant legal enforceability;
- Does not guarantee jurisdictional compliance;
- Does not assume any professional or fiduciary duty.
You are strongly advised to obtain independent legal advice before entering into any legal agreement or relying on any document generated through the Platform.
6. Nature of the Services
The Platform enables users to:
- Generate draft documents using AI-assisted systems;
- Manage document workflows;
- Facilitate electronic signatures.
The Platform is provided as a technology tool only. VirtuTechnologies makes no representation that documents generated will be suitable for any particular transaction, legal objective or regulatory requirement.
7. Artificial Intelligence Disclaimer
The Platform utilises artificial intelligence systems to generate content. You acknowledge and agree that:
- AI systems operate probabilistically;
- Outputs may contain errors, omissions or inaccuracies;
- Outputs may not reflect the latest legal developments;
- AI outputs may evolve over time as models are updated.
All outputs must be independently reviewed and validated by you prior to use. Responsibility for reliance rests solely with you.
8. User Obligations
Pre-Execution Review
You are solely responsible for reviewing all documents prior to execution and ensuring compliance with applicable laws.
Content Warranty
You warrant that uploaded content does not infringe third-party rights, is lawful, and is free from malicious code.
9. Subscription, Term and Renewal
Subscriptions are available on monthly or annual plans. Unless cancelled, subscriptions renew automatically on a rolling monthly basis. You may cancel at any time via your account dashboard.
10. Payment
Fees are payable via Direct Debit or other approved methods. If payment is not received, access may be suspended immediately. Interest shall accrue pursuant to the Late Payment of Commercial Debts (Interest) Act 1998.
11. Acceptable Use and Restrictions
- No reverse engineering or decompiling;
- No use for competing products or services;
- No use for training competing AI systems;
- No unlawful or fraudulent use.
12. Intellectual Property
12.1 Platform IP
All intellectual property rights in the Platform remain the exclusive property of VirtuTechnologies.
12.2 User Content
You retain ownership of IP in documents generated or uploaded.
13. Data Protection
VirtuTechnologies acts as a data processor in respect of customer-uploaded content. Personal Data is processed in accordance with UK GDPR and the Data Protection Act 2018.
14. Service Availability
“As available” and “as is” basis.
VirtuTechnologies does not warrant uninterrupted availability or error-free operation.
15. No Data Backup or Archiving Obligation
VirtuSign is not a document storage or archiving service. You are solely responsible for maintaining independent backups.
16. Sole Remedy
Your sole remedy for failure to perform is that VirtuTechnologies uses reasonable endeavours to remedy the defect within a reasonable time.
17. Indemnity
You shall indemnify VirtuTechnologies against claims arising from misuse, reliance on documents, or breach of these Terms.
18. Limitation of Liability
Liability for indirect, consequential, or economic loss is excluded. Total aggregate liability shall not exceed the total fees paid by you in the 12 months preceding the claim.
Non-Excludable Liability
Nothing excludes liability for death/injury from negligence, fraud, or where unlawful to exclude.
19. Assignment
VirtuTechnologies may assign these Terms as part of a restructuring or sale.
20. Severability
Invalid provisions do not affect the remaining terms.
21. Third Party Rights
No rights under the Contracts (Rights of Third Parties) Act 1999.
22. Governing Law
Governed by the laws of Northern Ireland; exclusive jurisdiction of NI courts.
23. Force Majeure
VirtuTechnologies shall not be liable for failure or delay caused by events beyond its reasonable control.
24. Variation
Updated Terms shall be published on the Platform. Continued use constitutes acceptance.
15. Final Reminder
VirtuSign is a tool designed to empower smarter document workflows using AI, but it does not replace professional legal advice, diligence, or accountability.
